Constitution and By-Laws
Lincoln Riding Club - Lincoln, Arkansas

Article I (Name)

The name of this organization shall be the
"LINCOLN RIDING CLUB".

Article II (Purpose)

The purpose of the Lincoln Riding Club is to foster and advance
horsemanship, sportsmanship and good fellowship in Lincoln and vicinity.
It is a club without capital stock and is not engaged in business for a profit.

Article III (Membership)

Section I.

ELIGIBILITY. Any person or persons interested in horses, and the welfare and progress of Lincoln and vicinity is eligible to membership in this club.

Section II.*

DUES. The annual dues shall be $20.00 for a family membership and $15.00 for single membership (all single individuals over the age of eighteen shall be classified as a single membership).

Section III.

HONORARY MEMBERSHIP. The club at its discretion, may confer honorary membership to individuals whose distinction in public affairs would justify such honor, and such honorary membership shall carry all the privileges of the club save that of holding office in the club.

Section IV.* LIFETIME MEMBERSHIP. The club at its discretion may confer lifetime membership on individuals whose distinction in the club's history would justify such honor and such lifetime membership shall carry all the privileges of this club.

Section V.* MEMBERSHIP CARDS. Upon receipt of dues for the year, a membership card signed by the Secretary. Memberships shall run from the period extending from January 1st to January 1st, of the following year. Any person having paid membership in December. shall be eligible to vote in the upcoming year's election.

Section VI. RESIGNATION. Any officer needs to give written resignation to resign from that office.

Section VII. EXPULSION. Any member may be expelled for cause by two-thirds vote of the membership of the club present at a meeting called for that express purpose.

Article IV (Board of Directors)

Section I.*

NUMBER. Two new board members will be elected yearly. Each position to carry a three (3) year term. Two Junior Board members shall be elected yearly. These two Junior Board members must be between the ages of thirteen to eighteen years of age. The out-going President shall automatically become a Board member for one year. This will make the Board consist of nine members at all times.

Section II.

ELIGIBILITY. All members of the Lincoln Riding Club in good standing shall be eligible to elective membership on the Board of Directors.

Section III.* HOW ELECTED. Membership on the Board of Directors shall be elected by the membership of the club. Board of Directors will be maintained by electing two new members yearly for a three-year term. The President, Vice President,  and Secretary,  shall be ex-officio members of the Board of Directors.

Section IV. TIME OF TAKING OFFICE. The term of office for the Board of Directors shall begin immediately upon their election and certification by the judge.

Section V. POWERS. The Board of Directors shall be the governing body of this club. Its shall fill any vacancies that may occur in the Board's membership only between annual elections. All acts of the Board of Directors shall be reported to the membership of the club at the next regular meeting of the club. A Board Member cannot miss three (3) consecutive meetings or they will forfeit their position on the Board.

Section VI.

MEETINGS. The Board of Directors shall meet not less than once each month at such time and place as it may from time to time determine.

Article V. (Officers)

Section I.

PRESIDENT. The president shall be the chief executive officer of the club and counter-sign all checks.

Section II.

VICE PRESIDENT. The Vice President shall serve in the absence of the President.

Section III.

SECRETARY. The secretary shall keep a careful and complete record of the actions of the club and all committees and the Board of Directors, answer all correspondence and keep a complete membership record of the club.

Section IV.

TREASURER. The treasurer shall have charge of all funds of the club and all checks for disbursements shall be signed by the Treasurer and the President. The Treasurer shall adopt a simple and adequate system of books for the club, and shall make financial statements of the club at each regular meeting.
   

Section V.

HOW ELECTED. Officers will be nominated and elected at our December meeting, to take office as of January 1. Members who vote must be paid up members either current or for the next calendar year.

Article VI (Committees)

Committees of the organization shall be appointed by the Chairman or President, who shall in naming a committee, in each case shall designate its chairman.

Article VII (Quorum)

Seven members of the club shall constitute a quorum. A majority vote of the members of the club present at a called or regular membership meeting, shall
have the authority to transact any business of the club.

Article VIII (Meetings)

The club shall meet once each month at such time and place as it may from time
to time be determined. Special meetings may be called by the President, or by
five members of the club at any time.

Article IX (Parliamentary Rules)

The proceedings of the Lincoln Riding Club shall be governed by the Roberts
Rules of Order.

Article X (Amendments)

These by-laws may be amended or altered by a two-thirds vote of the members present at any regular meeting, provided, that special notice shall have been
mailed by the Secretary to each member of the club not fewer than five days
prior to such meeting.
